1. Introduction

Nyoma, a sole proprietorship (soon to be LLC) ("Nyoma", "Company", "we", "us" and "our"), offers you access to nyoma.io, an online SaaS and consulting platform.

This Terms of Service ("Terms of Service") governs your use of the Website and your access to and use of the products and services we provide (collectively, including the Website, "Service" or "Services").

In addition, when using certain services, you will be subject to any additional terms applicable to such services that may be posted on the Service from time to time, including, without limitation, the Privacy Policy located at nyoma.io/privacy. All such terms are hereby incorporated by reference into these Terms of Service.

2. Definitions

"You" means any individual or entity using our Services. If you use our Services on behalf of another person or entity, you represent and warrant that you're authorized to accept the Agreement on that person's or entity's behalf, that by using our Services you're accepting the Agreement on behalf of that person or entity, and that if you, or that person or entity, violates the Agreement, you and that person or entity agree to be responsible to us.

3. Eligibility and Registration

Age Requirement

Users must be at least 18 years old to use our services.

Required Information

To register for Nyoma, you must provide:

  • Valid email address
  • Valid credit card and billing address (for paid features)
  • Phone number
  • Accurate and complete personal information

Account Responsibility

By registering for Nyoma, you agree to provide accurate and complete information about yourself and to promptly update this information if it changes.

4. Third-Party Authentication & Services

Our platform supports authentication through third-party services including Google, Apple, and GitHub.

🔗 Google Services Integration

Google Drive Access

By signing in with Google and consenting to Google Drive access, you agree that we may access, store, and manage files in your Google Drive for the purpose of providing project management and collaboration features. This access includes the ability to:

  • Read, create, and modify files related to your projects
  • Organize files within designated project folders
  • Share files with authorized team members
  • Sync project data across devices

Google Photos Access

We may also request permission to access your Google Photos to provide enhanced photo management services through our integrated Immich platform. This optional service allows you to:

  • Import and organize photos from Google Photos into project galleries
  • Use advanced photo management and search capabilities
  • Create project-specific photo collections
  • Access photos through our self-hosted Immich instance
  • Maintain privacy-focused photo storage and organization

Note: Google Photos access is entirely optional and only requested if you choose to use our Immich photo management service. Photos imported through this service are stored on our secure, self-hosted infrastructure.

🔒 Privacy & Control

You maintain full control over these permissions and may revoke access at any time through your Google Account settings or by contacting us. Revoking access will disable the associated features but will not affect your core account functionality.

5. Payments and Refunds

Payment Processing

We use Stripe to process payments for our services. All payment information is handled securely through Stripe's PCI-compliant infrastructure.

Fees and Taxes

There are no additional fees associated with our services, aside from applicable taxes and the subscription fees clearly displayed during checkout.

Refund Policy

  • Personal Subscription: Request a refund within 7 days of purchase
  • Professional Subscription: Request a refund within 7 days after requested content is complete and published
  • Refunds are processed through the original payment method
  • Processing time may take 5-10 business days

6. User-Generated Content

Ownership

Users retain ownership of any content they create or upload to our platform directly. We do not claim any intellectual property rights over this content.

License Grant

By uploading or sharing content to Nyoma's professional platform, users grant our platform a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display this content in connection with our services.

Content Responsibility

You are solely responsible for the content you upload and share. You warrant that you have the necessary rights to grant the above license and that your content does not violate any laws or third-party rights.

7. Data Privacy and Security

We take data privacy and security very seriously. Any data stored on our platform will NOT be sold or shared with third-party vendors or advertisers.

Your Responsibility

Users are ultimately responsible for safeguarding their own data and protecting their passwords from unauthorized access. Please use strong, unique passwords and enable two-factor authentication when available.

8. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload malicious code or attempt to compromise our systems
  • Use our services to spam, harass, or abuse others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated tools to access our services without permission

9. Limitation of Liability

Important Legal Notice: We will not be held liable for any damages or losses incurred by users in connection with their use of our services, except as required by applicable law. Our services are provided "as is" and "as available" without warranties of any kind.

10. Indemnification

Users agree to indemnify, defend, and hold harmless Nyoma and its owner, Chris George, from any and all claims, damages, expenses, and liabilities (including reasonable attorneys' fees) arising from:

  • Your use of Nyoma's services
  • Your breach of these Terms of Service
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights

11. Modifications to Terms

We may modify these Terms of Service at any time. For significant changes to the Terms of Service, users will be notified via email at least 30 days before the changes take effect.

Continued use of our services after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue use of our services.

12. Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

By Us

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to our platform or other users.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Nyoma is established, without regard to its conflict of law provisions.
